Terms of Service

1. Acceptance of Terms

By installing, accessing, or using VeeSheets (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the Service.

2. Description of Service

VeeSheets is a Google Sheets add-on and backend service that enables you to sync inventory data from Veeqo into Google Sheets. The Service:

• Connects to your Veeqo account using OAuth 2.0 authentication
• Accesses your Google Sheets using OAuth 2.0 authentication
• Retrieves inventory data from Veeqo and writes results to Google Sheets
• Runs background sync jobs to avoid Apps Script time limits

3. User Requirements

To use VeeSheets, you must:

• Be at least 13 years of age
• Have a valid Veeqo account
• Have a valid Google account with access to Google Sheets
• Comply with all applicable laws and regulations

4. Accounts and Access

You authorize VeeSheets to access your Veeqo and Google Sheets data as needed to provide the Service. You are responsible for maintaining the security of your accounts and for any activity that occurs under your authorization.

5. Subscriptions and Billing

VeeSheets offers a free plan and paid plans ("Pro"). If you purchase a paid plan:

• Payments are processed by Stripe and may be subject to its terms.
• Subscriptions renew automatically each billing period unless canceled.
• You can cancel at any time; access continues until the end of the current billing period.
• Fees are non-refundable except as required by law.
• We may change pricing with reasonable notice; changes apply to future billing periods.

6. User Responsibilities

You are responsible for:

• Account Security: Maintaining the security of your Veeqo and Google accounts
• Data Accuracy: Ensuring the accuracy of data in your spreadsheets
• API Usage: Respecting Veeqo's and Google's API rate limits and terms of service
• Backups: Maintaining backups of important data before using the Service
• Compliance: Using the Service in compliance with Veeqo and Google's terms of service

7. Prohibited Uses

You may NOT use VeeSheets to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Attempt to reverse engineer or modify the Service
• Use the Service for unauthorized access to systems
• Resell or redistribute the Service
• Abuse or overload Veeqo or Google APIs
• Use the Service in any way that could harm or disable VeeSheets or third-party services

8. Data and Privacy

Your use of VeeSheets is governed by our Privacy Policy. We comply with the Google API Services User Data Policy, including the Limited Use requirements.

9. Third-Party Services

VeeSheets integrates with third-party services (Veeqo and Google Sheets). Your use of these services is subject to their respective terms:

We are not responsible for any changes, interruptions, or discontinuation of these third-party services.

10. Modifications to Service

We reserve the right to:

• Modify or discontinue the Service at any time
• Update these Terms at any time by posting the updated version
• Change features or functionality of the Service

Continued use of the Service after changes constitutes acceptance of the modified Terms.

11. Intellectual Property

VeeSheets and all related content, features, and functionality are owned by VeeSheets and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for personal or business use.

12. Disclaimer of Warranties

VeeSheets is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of data

We do not guarantee that the Service will meet your requirements or that it will be compatible with all systems.

13. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for any loss of profits, revenue, data, or business opportunities
• We shall not be liable for damages resulting from the use or inability to use the Service
• Our total liability shall not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim

14. Termination

You may stop using VeeSheets at any time by uninstalling the add-on or disconnecting your accounts.

We reserve the right to terminate or suspend your access to the Service if you violate these Terms, fail to pay fees when due, or engage in prohibited activities.

15. Indemnification

You agree to indemnify and hold harmless VeeSheets and its developers from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any data loss or corruption related to your use of the Service

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the developer resides, without regard to conflict of law principles.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and VeeSheets regarding the use of the Service.
